Online Registration System for One Person Corporation and Corporations with 2-4 Incorporators

The Securities and Exchange Commission (SEC) has set-up an interim online registration system to facilitate the application for registration of One Person Corporation and corporations with 2-4 incorporators during the Enhanced Community Quarantine. The system allows an applicant or its duly appointed representative to submit the proposed company name and input details of the articles of incorporation for review of the Commission.

As part of the basic requirements, the applicant has to provide a valid and existing email account in the system where the status of the application shall be posted. Once the application form is successfully submitted, the Company Registration and Monitoring Department shall review it within 3 working days from the time of submission. Applicant will then be advised of the status of the review through the email address.

If status of application form is approved, applicant may pay the registration fees specified on the payment assessment form, and submit proof of payment, signed and notarized hard copies of the registration documents to the selected SEC Office within thirty (30) days from the lifting of the Enhanced Community Quarantine period. If status is disapproved, applicant has to fill-out the application form again following the modification requirements set forth by the reviewing officer indicated on the disapproval notice.
